elite 3200 5-15x40mm or leupold vx 1 4-12x40mm?

I'd go with the 4-12x40. Reason... The higher the power (at the low end) the harder it is to acquire a target at close range. Proof of this is the posts in the hunting section where guys say they sighted in at the range at 9 or 12 or 16 power, FORGOT to turn down the power and went hunting... Then they get a chance at a critter at close range and they miss...

I would choose the 3200 over the VX1, I have both and the 4-12 VX1 is a terrible scope in my mind, poor coatings or lack of cause excessive glare, eye relief also changes enough to be quite annoying on the VX1. I do like the VXIII series but thats not what you are asking.
 
personally, I think you're compareing apples to apples. Both scopes have issues that some people don't like. All in all, the difference between 4x and 5x is negligeble. Both scopes have problems with brightness at their high end in low light conditions. Their objective lenses are the same diameter and of similar quality, as are their exit lenses. As for rare earth coatings, which scope is newer?
That's the criteria I would use. Buy the newest of the two. If they are the same age, buy the one in the best condition. If they are new, buy the one that appeals to your eye. They are both darned good scopes for their nominal values.

You won't go wrong no matter which one you choose.

i likely wont be able to do a side by side comparison but hopefully the dealer that is getting the 3200 for me will also have a vx1 there.

he showed me the 4200 and it was awesome. looks good and was very clear. he then tried showing me the 6500 but i wouldnt even touch it as i knew id fall in love with something i cant have:(

I know this isn't what you want to hear, but if you can find a way to spend more money you'll be happier in the end. Low end optics are no bargain, and the higher the power the more the shortcoming show.
A 4200 4-16 x 40 costs about $140 more than the 3200 you are looking at. I'm not the biggest Bushnell fan there ever was, but that would be the best $140 you will ever spend. Find the money, delay the purchase or drop the power a bit and shave a few bucks there. The numbers work out about the same with the Leupold.
There's an old saying that goes something like this:

There's never enough money to do it right, but there is always enough money to do it over. I'm sure he was talking about scopes.;)
