Just got uncles 1940 winchester 94 in 32 special, not looking to sell but whats it worth? Varnished stock, little blueing no rust not fired in 40 years, not posting pictures, will never be sold just need a ball park idea.

A 1940 should have the longer forestock which makes it a bit more desirable. Worn bluing or patina is fine but rust, pitting, scratches or gouges in the metal is very undesirable. Minor imperfections in the wood are expected for a rifle of that vintage but again gouges or deep scratches not good. Presence of the front site hood is also desirable. installation of sling swivels or a butt pad is bad as is engraving of any kind. If the screws are buggered this alone makes it a truck gun. Unfortunately 32 win sp ammo is currently as scarce as hens teeth so unless one reloads and has brass not a desirable calibre.

Yes plus or minus 600 to 800 depending on above factors. A 1940 that is unmolested and in fine / excellent (80 % plus) condition could be worth a lot more - whatever a collector would pay.

Sold a 1907 .32WS carbine in about 60%ish condition for $800. I hunt whitetail sometimes with a mid 50’s 94 .32.

Without seeing it, yours is worth somewhere around the $500-$700 range. Varnish brings the value down, but yours is a keeper, so it doesn’t matter.
